1. Acceptance of Terms
By accessing or using orionsmap.com ("Site") and the services provided by Orions Map LLC, a Vermont limited liability company ("Company," "we," "us," or "our"), including the interactive map, event listings, and related features (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you are at least 13 years of age. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2. Description of Service
Orion's Map is a free web application that aggregates and displays public event listings from venues across the United States. The Service provides an interactive map and list view of events including, but not limited to, live music, comedy, theater, art exhibitions, and community events. The Service is provided free of charge and is supported by advertising.
3. Accuracy Disclaimer
Event information displayed on the Service is collected from publicly available third-party sources using automated methods and is provided for informational purposes only. We make commercially reasonable efforts to keep listings accurate and current, but we do not guarantee and make no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any event information, including but not limited to event dates, times, locations, pricing, availability, or descriptions.
Events may be cancelled, rescheduled, relocated, or otherwise changed by venues or organizers without notice to us. We are not responsible for any loss, expense, or inconvenience arising from your reliance on event information displayed on the Service.
Always verify event details directly with the venue or event organizer before making plans or incurring expenses.
4. User Submissions
When you submit information through the Service (including venue submissions and bug reports), you grant the Company a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and create derivative works from that information for any purpose related to operating and improving the Service.
You represent and warrant that you have the right to submit all information you provide, that the information does not infringe any third party's intellectual property or other rights, and that the information does not violate any applicable law or regulation.
5. Intellectual Property
The Orion's Map name, logo, visual design, user interface, and original source code are the exclusive property of Orions Map LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in these properties.
Event data displayed on the Service is aggregated from publicly available third-party sources. Individual venues and event organizers retain all rights to their own event information. The compilation, organization, and presentation of event data on the Service is the intellectual property of the Company.
6. Acceptable Use
You agree that you will not:
- Use automated tools, scripts, bots, scrapers, or crawlers to access, scrape, index, or bulk-download data from the Service without prior written consent
- Attempt to probe, scan, or test the vulnerability of the Service or any related system, or circumvent any security or authentication measures
- Interfere with or disrupt the Service, its servers, or networks connected to the Service, including through denial-of-service attacks
- Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms
- Misrepresent your identity, affiliation, or the origin of any information you submit
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service for commercial purposes without prior written consent
- Transmit any malware, viruses, or other malicious code through the Service
We reserve the right to investigate and take appropriate action, including without limitation referral to law enforcement, for any violation of this section.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our data collection and use practices.
8. Third-Party Content and Links
The Service may contain links to third-party websites, including venue websites and event pages. These links are provided for your convenience only. We do not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party website. Your use of third-party websites is at your own risk and subject to the terms and conditions of those websites.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY EVENT INFORMATION, DATA, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORIONS MAP LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY EVENT INFORMATION OR CONTENT OBTAINED FROM THE SERVICE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (D) ANY OTHER MATTER RELATING TO THE SERVICE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless Orions Map LLC and its members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights, including intellectual property rights; or (d) any information you submit through the Service.
12. Dispute Resolution and Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
12.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at contact@orionsmap.com and attempt to resolve the dispute informally for at least 30 days.
12.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, in the English language, and the seat of arbitration shall be in the State of Vermont.
The arbitrator's decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The arbitrator shall have the authority to award the same remedies that a court could award, including injunctive or declaratory relief.
12.3 Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
12.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Claims that qualify for small claims court may be brought in small claims court in lieu of arbitration.
13. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Vermont, United States, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Vermont.
14. Modifications to Terms
We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will provide notice through a prominent banner on the Site prior to the changes taking effect. The "Last updated" date at the top of this page indicates when these Terms were last revised. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
15. Termination
We reserve the right to suspend or terminate your access to the Service, without prior notice or liability, for any reason, including without limitation if we reasonably believe you have violated these Terms. Upon termination, all provisions of these Terms that by their nature should survive shall survive, including without limitation Sections 4 (User Submissions), 5 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Dispute Resolution), and 13 (Governing Law).
16. Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction or arbitrator, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Orions Map LLC regarding the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and the Company.
18. Waiver
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any default is not a waiver of any subsequent default.
